What is Contract Law?
Contract Law — The Foundation of Every Contract
Contract Law is the body of law that governs the creation, validity, interpretation, performance and enforcement of agreements between parties.
In simple terms, Contract Law determines when a promise becomes a legally enforceable obligation — and what happens when that obligation is not fulfilled.
A contract is therefore much more than a document signed by two parties.
Behind every contract lies a legal framework that answers fundamental questions:
- Was a valid contract formed?
- What exactly did the parties agree to?
- What are the rights and obligations of each party?
- Who bears the risk when something goes wrong?
- What happens when there is delay, breach, change or non-performance?
- What remedy is available to the affected party?
This is where Contract Law becomes important.
For a construction professional, a contract is not merely a commercial document. It is a risk-allocation mechanism. The clauses relating to scope, time, payment, variations, delay, extension of time, damages, termination and dispute resolution determine how contractual risks are distributed between the parties.
That is why understanding Contract Law is fundamental to effective Contract Management.
A contract tells us what the parties have agreed.
Contract Law tells us what that agreement means in the eyes of law.
